WHAT TO DO WHEN YOUR CUSTOMER BREACHES YOUR CONTRACT OR AGREEMENT

When you run a small business, you often have your customer sign a contract or agreement detailing your services. One reason for this contract is that it will make resolving any dispute easier. A contract will clearly state when a party has breached the terms and what you can get as damages. You still have rights if you do not have a written contract; it is just tougher to prove.

If your customer breaches, we want to determine the severity of the breach – is it a significant breach that has cost you damages (e.g., your customer did not pay)? Or is it a minor breach with no adverse effect on your business? Or did they threaten to breach the contract in the future?


Then the next step is to determine your damages. Hiring an attorney and litigation can be costly. It should be worthwhile to litigate and to you whole. Or is there a chance for mediation to resolve the dispute quickly and efficiently.
